The following agreement is between PaperclipCMS and all clients who sign up for a free demo account or have active / paid accounts on our server. This service agreement also applies to those who have purchased any product from our site.

You financial obligation will begin after you agree to bring your account to “active” status from “demo” status. However, no obligation exists on the clients end to bring their account out of demo status.

Payments

When you sing up for an “activation” license you will be billed your 1st monthly billing fee plus any monthly fees associated with you account. This information will be made clear to you on your order page. You will then be billed on a month to month basis for the service you requested.

Paperclipsm reserves the right to change the pricing structure of our services. However, 30 days notice must be given prior to any change.

Cancellation

If you wish to cancel your contract you can do so anytime, be simply contacting us and answering security questions to verify your identity. We don’t force you into long terms contracts or make you pay any cancellation fees. If you’re done with our service, we will work hard to ensure it’s as smooth as a process as possible.

Dilinquent Accounts

If your account goes into delinquency due to non payment we will be forced to issue you a warning and give you 30 days to make the payment. If at the end of 30 days your payment has not been received will be be forced to put a temporary hold on your website making it inaccessible to your website visitors.

If at the end of 60 days we have not received payment we will be forced to terminate your account. In the event of termination you (the client) will be responsible for transferring any content or domain names away from our server and to a new server if you wish to keep your website running. However, we claim no responsibility for any lost information in the termination process.

Clients are responsible for all costs incurring during the collection of payments process including, but not limited to, court fees, litigation expenses and attorney fees.

Server

Paperclipcms will work diligently to ensure the highest server “up-time” percentage. We have invested heavily in a server which has a zero downtime network. We have also invested the money into ensuring our server is protected by a state of the art security protection programming which will help ensure your site is safe and secure. However, there may be service disruption or failures which may arise which are out of our control. In such occurrence, Paperclipcms assumes to liability for any lost or damaged information resulting from such disruptions or errors.

While our server can handle most content and tools required to you’re your website, if you have uploaded malicious or otherwise damaging material to our server we have the right to remove the content immediately. You will be issued a warning not to repeat the same set of actions. However, if the problem repeats itself we hold the right to terminate your account or put it on hold.

Similarly, If your website activity jeopardizes the way in which the rest of our clients sites operate on our server, we maintain the right to temporarily disable your site until the problem is fixed. If the problem cannot be fixed, we maintain the right to terminate your account, with 10 days notice.

Paperclipcms can also, at our discretion, terminate our clients accounts if we feel a particular site is jeopardizing the quality of our service.

Limitations

Paperclipcms will only host non adult, legal and professional websites. Any reference to illegal downloads, adult content or otherwise offensive content will be removed immediately and your site will be put into a deactived status until you agree to comply. Failure to comply will result in immediate termination of your account.

Email.

Spamming is the sending of unsolicited email. Sending unsolisited emails is strictly prohibited by Paperclipcms.com. Spam abuse complaints may result in a variety of penalities which may include but not be limted to; fines based on the volume of spam sent, reactivation fees or the cancellation of services.

Our clients agree to pay any fines and fees associated with spamming which originated from their account.

Trademarks and copyrights.

Our clients agree and give permission for paperclipcms.com to use client trademarks only in connection with paperclipcms services.

Software Rights

Clients are granted a lincence to use our CMS software during the duration that our clients are paying for the service. However, our clients are not permitted to copy, reproduce or host our CMS software anywhwere else. This software is soley owned by paperclipcms and can only be hosted on our own servers.

If you decide to terminate or leave our hosting service, you many not take the CMS with you.  You will have full access to your sites content through both the frontend and backend (admin) sections.  All user contributed images and data can be copied inclusive of meta tage and keyword information. 

We are not responsible for and will not contribute to, any information (database or content) transfer work that may need to be done in order to transfer your data to a new server. You will have access to all data within your site buy not in a data base format which contains a proprietary directory structure and is an integral part of our information architechture.  Under no circumstances will PaperclipCMS authorize a database dump to facilitate transfer of data. 

Changes to software

Paperclipcms reserves the right to change or upgrade our software without notice. If these changes effect the performance of your website we will work hard to correct any damaging effects, however, we take no responsibility for changed performace of websites due to software changes. If a software change disprupts (temporarily or permentantly) the performance of your website, we may be forced to terminate your account.

Clients may not attempt to gain access  to any servers contoled by paperclipcms.com

Temination:

Termination of this agreement can be instigated by paperclipcms or the client by giving the other party 30 days notice.

Liability

The client agrees to use paperclipcms software, hardware and services at their own risk. Neither paperclipcms, it’s employees, affiliates warrant that paperclipcms services will be uninterrupted or error free. We do not make any warrenty as to the results achieved by your website.

Under no circumstances, including negligence, shall Paperclipcms, its offices, employees or agents be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use of Paperclipcms service; or that results from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation, or transmission or any failure of performance, whether or not limited to acts of God, communication failure, theft, destruction or unauthorized access to Paperclipcms’s records, programs or services.

Indemnification

Client agrees that it shall defend, indemnify, save and hold Paperclipcms harmless from any and all demands, liabilities, losses, costs and claims, including attorneys' fees, ("Liabilities") asserted against Paperclipcms, its agents, its customers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Client, its agents, employees or assigns.

This Agreement shall be governed and construed in accordance with the laws of the Country of Canada
